Terms of Service
These Terms of Service ("Terms") govern access to and use of the Skryx platform ("the Service"), provided by SmartKeep Solutions SRL, registered no. RO43273365, trade reg. J02/1147/2020, based at Arad, Romania ("Skryx", "we"), to you as a customer ("Customer", "you"). By creating an account or using the Service you accept these Terms.
1. Definitions
Service — the search-as-a-service SaaS platform: product/document indexing, real-time search, AI assistance, widget, API, plugins and dashboard. Customer Data — the content you upload to or generate through the Service (catalogue, configuration, events). Shoppers — the end users of your store.
2. Account and eligibility
You need an account. You must be at least 18 and have legal capacity to contract. If you use the Service on behalf of an entity, you warrant you are authorised to bind it. You are responsible for credential security and all activity under your account. Notify us immediately of any unauthorised use.
3. Acceptable use
Use of the Service is subject to the Acceptable Use Policy (AUP). In short: no illegal content, abuse, unauthorised scraping, attacks on infrastructure, or use that harms other users. We may suspend access for breach (Section 12).
4. Plans, trials, payment
The Service is offered on plans (from a free tier through commercial and Enterprise plans), with limits described on the pricing page. Certain plans require recurring payment (monthly or annual), processed by Stripe (see Privacy Policy).
- Trials: where offered, a trial may convert to a paid subscription at its end unless you cancel beforehand.
- Renewal: automatic at the end of each period unless you cancel before the renewal date from Settings → Billing.
- Taxes: listed prices exclude VAT unless stated; VAT applies as required by law.
- Refunds: we do not refund unused time, except where required by law (e.g. EU consumer right of withdrawal — 14 days).
- Late payment: non-payment may lead to suspension or downgrade to the free tier.
5. Customer Data and licence
Customer Data is yours. You grant us a non-exclusive, worldwide, limited licence to host, process and display it solely to provide and improve the Service for your benefit. Processing of personal data is governed by the DPA. You warrant that you hold the necessary rights in the Customer Data and a lawful basis for uploading it.
6. AI features
The Service uses AI models (from vendors such as Anthropic and Voyage AI) for query understanding, synonyms and relevance. AI output is probabilistic and may contain errors; it is not advice and we do not warrant its accuracy. We do not use Customer Data to train third parties' foundation models.
7. Intellectual property
Skryx retains all rights in the platform, code, design, documentation and marks. Except for the licence in Customer Data granted to us (Section 5), nothing in these Terms transfers intellectual-property rights. Feedback you give us may be used freely to improve the Service.
8. Third-party services
The Service integrates with third-party platforms (e.g. WooCommerce) and uses sub-processors (see Privacy and DPA). We are not responsible for third-party services we do not control.
9. Availability and SLA
We make reasonable efforts to maintain high availability, but the Service is provided without a 100% uptime guarantee. We may perform planned maintenance with reasonable notice. A commercial SLA with credits may be offered on business/Enterprise plans under a separate agreement.
10. Warranties and disclaimers
To the extent permitted by law, the Service is provided "as is" and "as available", without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. This does not affect mandatory consumer rights.
11. Limitation of liability
To the maximum extent permitted by law, Skryx's total aggregate liability for any claims relating to the Service shall not exceed the amounts paid by the Customer in the 12 months preceding the event. We are not liable for indirect, incidental or consequential damages, or loss of profit, data or goodwill. Nothing limits liability that cannot be excluded by law (e.g. fraud or personal injury).
12. Suspension and termination
You may terminate at any time from the dashboard. We may suspend or terminate access for serious breach of these Terms or the AUP, non-payment, or a security risk, with reasonable prior notice except in urgent cases. On termination, data is handled per the DPA and Privacy Policy.
13. Indemnification
The Customer indemnifies Skryx against third-party claims arising from Customer Data, breach of these Terms, or breach of law.
14. Governing law and jurisdiction
These Terms are governed by Romanian law. Disputes shall first be resolved through good-faith negotiation; failing that, by the competent courts in Arad, Romania. Consumers may also use the EU ODR platform and are not deprived of the mandatory protections of their country of residence.
15. Changes
We may update these Terms. Material changes will be notified at least 30 days in advance by email or in-dashboard. Continued use after they take effect constitutes acceptance. The current version is shown in the header.
16. Miscellaneous
If a clause is void, the rest remain in force. Failure to exercise a right is not a waiver. You may not assign the contract without our consent; we may assign to a successor in interest. These Terms, together with the AUP, DPA and referenced policies, are the entire agreement regarding the Service.
